Invest LLC (Buyer) entered into a preliminary agreement with Stroymontazh JSC (seller), according to the terms of which, the Buyer undertakes to pay 100% advance payment to the Seller for non-residential premises located on the 1st floor of a residential building that will be built before 2014. The contract states that after the commissioning of the house and the receipt of ownership rights by the Seller for the whole house, the parties undertake to sign the main contract of sale. The house is commissioned. However, the Seller (developer) delays the registration of property rights without concluding the main contract.
Question: How can the court qualify the relations of the parties, and with what claim can the Buyer apply to the court?
